Chapter 4 - The Emergency Board Meeting

At nine o'clock on Thursday morning, forty-eight hours after Leo’s birth, I sat in a high-backed leather chair at the head of the conference table on the twelfth floor of the Baldwin-Gallagher Logistics headquarters in downtown Syracuse.

I was wearing a simple black tailored dress, my hair pulled back into a neat bun. Beside me, sitting sound asleep in a sleek black bassinet, was my baby son.

Across the long glass table sat six senior board members—men in their fifties and sixties who had worked alongside my father for two decades. They looked uncomfortable, nervously shifting in their seats and adjusting their ties as they looked from me to the empty leather chair at the far end of the room.

The door burst open, and Charles Baldwin marched into the room, flanked by two criminal defense attorneys in expensive dark suits.

Charles looked terrible. His suit was wrinkled from two nights in a holding cell, his hair was unwashed, and a deep purple bruise was forming along his jaw where the deputies had pinned him to the porch. But his eyes were still burning with that same arrogant, condescending fury I had known my entire life.

"What is the meaning of this?!" Charles roared, slamming his leather binder onto the glass table. "Victoria, you belong in a hospital rest home! You have no right to call a board meeting without my explicit written approval!"

One of his attorneys, a sharp-faced man named Harrison, stepped forward. "Mrs. Gallagher, my client has posted bond. His legal team is currently filing an injunction to freeze all corporate proceedings until your mental competency can be formally evaluated by a court-appointed doctor."

Samantha didn't even bother to stand up. She opened her leather ledger and pulled out a certified copy of the county clerk’s filing from two hours ago.

"Save your breath, Harrison," Samantha said coolly. "The Honorable Judge Miller reviewed the police reports, the medical records from St. Joseph’s Hospital regarding the assault on Mrs. Gallagher, and the forensic audit of Manhattan National Bank at seven o'clock this morning. Your injunction was denied thirty minutes ago."

Harrison’s mouth opened, but no sound came out. He looked back at Charles with a sudden flicker of doubt.

"That's impossible!" Charles shouted, his fists pounding against the table. "I built this company! My name is on the building!"

"Your name is on the front of the building, Charles," I spoke up, my voice steady, calm, and utterly devoid of fear. "But Lucas’s money built the foundation. And Lucas made sure that if you ever tried to destroy his family, you would lose everything you built."

I pressed a button on the intercom at the head of the table. "Bring them in, please."

The side door opened, and three uniformed officers from the New York State Police Financial Crimes Unit walked into the boardroom, accompanied by an auditor from the Securities and Exchange Commission.

Charles took a step back, his face turning pale once again. "What is this?"

"For the last three weeks, Charles," I explained, leaning back in my chair, "I wasn't just grieving my husband. I was reading his personal journals. Lucas knew six months ago that you were embezzling funds from the shipping maintenance accounts to pay off Courtney’s personal gambling debts in Atlantic City."

The six board members gasped in unison, turning their heads to stare at Charles in absolute shock.

"That’s a lie!" Charles screamed, his voice turning shrill. "She’s making it up! She’s hysterical!"

"We have the wire transfers, Mr. Baldwin," the SEC auditor said, pulling a stack of blue folders from his briefcase. "One point eight million dollars was routed through shell companies in Delaware, bearing your personal authorization stamp. The transfers were executed using forged digital signatures belonging to the late Lucas Gallagher."

Charles reached for the back of a chair to steady himself, his hand shaking so badly he nearly missed the leather padding.

"Pursuant to Section 4B of the corporate charter," Samantha announced, turning to face the six board members, "Mrs. Victoria Gallagher, as majority shareholder, hereby moves to vote on the immediate termination of Charles Baldwin as Chief Executive Officer, effective immediately, with cause."

"All those in favor?" I asked, raising my right hand smoothly.

Without a second’s hesitation, every single board member at the table raised their hand.

"The motion passes unanimously," Samantha recorded.

"You can't do this to me!" Charles wept, his arrogant composure finally shattering into pathetic, desperate jagged pieces. "Victoria! I am your father! I gave you life!"

"You dragged me out of my home by my hair while I was pregnant with your grandson," I said, looking him straight in the eye without a trace of mercy. "You gave me nothing, Charles. And now, you have nothing left."

The state troopers stepped forward, snapping a new pair of steel handcuffs around his wrists. "Charles Baldwin, you are under arrest for corporate embezzlement, wire fraud, and grand larceny. You have the right to remain silent..."

As they led my father out of the board room in front of his entire corporate staff, he looked back over his shoulder one last time. But I didn't watch him leave.

I turned my chair toward the bassinet, reached down, and gently lifted my sleeping son into my arms.
