Chapter 5 - The Suspension

Daniel stood frozen behind his desk, staring down at the paper as if it were written in an ancient, incomprehensible language.
NOTICE OF EMERGENCY BOARD ACTION: Pursuant to Section 8.4 of the Corporate Bylaws, the Executive Voting Power of Daniel Ryan Mercer is hereby suspended effective 8:30 A.M. PST. An independent forensic committee has been appointed to investigate allegations of corporate asset diversion, unauthorized capital transfers, and breach of fiduciary duty.
"Suspended?!" Daniel roared, his voice booming through the glass walls of the executive floor. "They can't suspend ME! I built this company! I am the face of Mercer Technologies!"
He grabbed his desk phone, frantically dialing Arthur Vance, the seventy-two-year-old former chairman of the venture capital firm that held twelve percent of the company’s remaining shares.
The line rang twice before Arthur picked up.
"Arthur!" Daniel yelled into the receiver. "What the hell is this circus?! You calling an emergency board meeting behind my back?! I demand an immediate cancellation of this ridiculous suspension!"
"Daniel," Arthur Vance’s voice came through the speaker, cold, dry, and entirely devoid of his usual friendly warmth. "Keep your voice down. You are on speakerphone with the executive governance committee."
"I don't care who is on speakerphone!" Daniel spat. "Claire is a bitter, vindictive ex-wife trying to manufacture leverage in a divorce proceeding! Whatever documents she gave you are fraudulent!"
"Daniel," Arthur interrupted sharply. "Claire didn't just give us a divorce claim. She gave us certified banking receipts showing that over the past eighteen months, you authorized $2.4 million in 'vendor consulting fees' paid to an entity called Apex Horizon LLC."
Daniel’s blood turned to ice.
"An entity," Arthur continued ruthlessly, "that is registered under the personal ownership of your former PR employee, Ashley Reed. An entity that used those exact corporate funds to purchase a luxury residential property in downtown San Francisco."
Daniel’s mouth opened, but no sound came out.
"That isn't a marital dispute, Daniel," Arthur said, his tone dropping into absolute severity. "That is corporate embezzlement of public-tier capital. That is a direct, felonious breach of your fiduciary duty to this board and our investors."
"Arthur... I can explain that transfer—" Daniel stammered, his confident posture completely dissolving.
"You won't explain anything to me today, Daniel," Arthur snapped. "As of this moment, your corporate access card is deactivated. Security will escort you off the premises. You are barred from contacting any employee of Mercer Technologies until the independent forensic review is complete."
"You can't do this!" Daniel screamed, his fingers turning white around the phone receiver. "I control thirty-four percent of the voting stock!"
"And your wife controls forty-eight percent," Arthur replied smoothly. "And forty-five minutes ago, Claire executed a formal proxy agreement, uniting her forty-eight percent with my twelve percent. We hold a sixty-percent absolute voting majority."
Arthur took a quiet breath.
"You are outvoted, Daniel. Leave the building quietly, or we will have Palo Alto police remove you in handcuffs."
The line went dead.
Daniel slowly let the phone receiver drop from his hand. It hung by its coiled cord, swinging back and forth, clicking softly against the side of the desk.
At that exact moment, his personal cell phone on the desk began to vibrate.
The screen lit up with a photo of Ashley Reed.
Daniel stared at the ringing phone, his mind spinning into a terrifying, dark vortex. His career, his reputation, his wealth, his status—everything he had spent nine years constructing was collapsing around him like a house of cards in a hurricane.
He reached out his hand to answer Ashley’s call.
"Sir..." Melissa’s voice called out quietly from the doorway.
Daniel looked up, his eyes wild, bloodshot, and frantic. "What now, Melissa?!"
May you like
Melissa stood beside two heavy-set corporate security guards in black suits.
"Sir..." Melissa said softly. "Before you answer that call... you should probably hear what Claire just sent to the board."
